National Reinsurance Corporation of the Philippines, doing business under the name and style of Philippine National Reinsurance Company (PhilNaRe), and a publicly listed company, submitted this required report for good governance, in compliance with SEC Memorandum Circular No. 5, Series of 2013.
Subsequently issued SEC Memorandum Circular Nos. 1 and 12, Series of 2014 does not require companies to submit their ACGR to the Commission on the second (2nd) year to fourth (4th) year. The next submission will be 5 years from its initial submission and every 5 years thereafter. Only changes and updates are required to be reported or disclosed as defined under Section 17 of the Security Regulation Code (SRC) using SEC Form 17-C or if the changes or updates are not required under Section 17, an advisement letter to the SEC will be used for making the disclosure.
Consolidated changes in the ACGR on the 2nd to 4th year shall be posted on the Company website within ten (10) days from the end of the respective years. Changes and updates made are reflected in blue font to facilitate reference, please refer to the 1st year version for the original information.

MINUTES OF ANNUAL STOCKHOLDERS’ MEETING
Ermilando D. Napa, Lead Independent Director
Independent Director since June 2011. Mr. Napa is the Founding CEO of Manila Consulting & Management Co., Inc., and Catanauan Resources and Development Corporation. He is the Chairman of the Audit Committee of Nat Re and the Chairman of the Interim Governance Board of the National Life Insurance Company of the Philippines (NLIC). He is also the Chairman of the Court Appointed Board of Liquidators of Capitol Hills Golf and Country Club Inc. His previous professional experience includes being a President and CEO, and Vice Chairman of the Board of Trade and Investment Development Corporation aka Philippine Export – Import Credit Agency, Independent Director of House of Investments, Inc. (HOI), Partner of SyCip Gorres & Velayo Company (Philippines), a Principal of Kassim Chan & Company in Kuala Lumpur, Malaysia (a former member firm of SGV Group and Delloite Haskins & Sells International), and a Manager of Arthur Andersen in New York. In 2013, he was appointed as Conservator of the National Life Insurance Company (NLIC) and spearheaded its rehabilitation. Mr. Napa has attended special trainings and various courses such as Strategic Management and IMPACT Productivity Improvement in Chicago and Corporate Finance in New York and various corporate governance courses. He holds a bachelor’s degree in Business Management from Aquinas University (1970) and a master’s degree in Management from the Asian Institute of Management (1980).
